What you’ll be responsible for

 

Ensuring accurate and timely record keeping of Board activities including maintaining all statutory registers for Glas Cymru and its subsidiaries. This will include:

 

1.        Advising the Board and Committees (in particular the Audit Committee) on developments in corporate governance, particularly compliance with the UK Corporate Governance Code (as amended from time to time) the Common Terms Agreement with lenders and the company’s statutory Licence and associated Guidance;
2.        Managing papers for Committees of the Board and the Board and attending all meetings of those Committees to minute and manage Matters Arising;
3.        Assisting with agendas for Board and Committee meetings and arrangements for meetings more generally, where required.
4.        Issuing requests for papers for all Board and Committee meeting papers;
5.        Finalising and publishing Board and Committee papers 7 days in advance of all meetings;
6.        Managing the timetable for drafting and editing the Governance sections of the Annual Report and Accounts ensuring associated approvals are sought in line with the timetable for development, publication and sign off. 
7.        Track Board and Committee decisions throughout the year essentially highlighting those which are relevant to the S172 Statement.
8.        Ensuring compliance with FRC and Ofwat Corporate Governance Guidance and best practice for listed companies as required by our statutory  undertaker licence  and Common Terms Agreement, as appropriate.
9.        Filing accounts and statutory confirmations for all Group companies;
10.        Maintaining statutory records for all companies;
11.        Maintaining matters reserved to the Board and terms of reference for all Committees;
12.        Carrying out annual Board Effectiveness Survey and preparing reports to the Chair and to the Board on individual and overall results;
13.        Drafting AGM (and any EGM) notices and managing voting arrangements and reporting of Members meetings
14.        Supporting the Treasury team in relation to governance issues arising on any STID proposals or other transactions.
15.        Monitor changes in relevant legislation and the regulatory environment and horizon scan for potential developments that will impact the business.
16.        Updating website information on the Board, DCE and wider corporate governance issues.
17.        Ensuring up to date corporate and Glas Member information is included on our website.
18.        Undertaking any other duties as required to meet the needs of the business, including providing cover for other members of the Company Secretary team where required.

About you

 

  • Chartered Governance Institute (CGI) qualification or equivalent or part CGI qualified.
  • Working as part of company secretarial function for a UK plc or significant Corporate Governance experience in an equivalent sector.
  • Reporting to a range of stakeholders and working under pressure and to deadlines
  • Achievement Motivation - The drive and energy to produce excellent results and to continually find ways of improving relationships, outputs and processes, finding creative solutions to problems, working to deadlines and under pressure.

This is a hybrid role, the successful candidate will be expected to attend the office 2/3 days a week or when the business requires.
